Incorporations
We discuss with our clients their business goals and often recommend the formation of a corporation to limit personal liability. Our office routinely incorporates business entities, preparing the Articles of Incorporation, Application for Federal Employer Identification Number, shareholders resolutions, directors resolutions, Bylaws, stock certificates, and S Corporation Election.
Many times it is more favorable for our clients to form a Limited Liability Company. Our office will prepare the Articles of Organization and the Operating Agreement for this form of entity.
Contracts
Our business clients will often request that we prepare certain contracts to protect their interests. We will routinely prepare Buy/Sell Agreements, Employment Contracts, Restrictive Covenants, and Confidentiality Agreements to meet our client’s needs.
Business planning
Often a client will come to our office and request that we incorporate their business. Before formation, we will discuss with our client the various forms of ownership (partnership, corporation, limited liability company, sole proprietorship). We will then recommend a meeting with the client’s accountant to discuss the tax ramifications and benefits of each form of business ownership. After the client understands the pros and cons of each form of ownership and is fully informed of the available choices, we will prepare the necessary documents that best serve our client’s needs and goals.
